To enter, beginning 12:01 AM Eastern Time (ET) on 8/17/07, visit www.prilosecOTC.com and follow the on-screen instructions to complete the entry form and submit an entry into the Sweepstakes. During the promotional period, there will be approximately 100 participating websites where you may enter the sweepstakes. Upon visiting a participating website, follow the on-screen instructions to complete the Official Entry Form and submit your entry. Availability of participating websites presenting the Prilosec OTC NFL "Season of a Lifetime" Sweepstakes is subject to change and is at Sponsor's discretion. All entries must be received by 11:59 PM ET on 2/4/08. Limit one entry per person per day, regardless of method of entry.

2. ELIGIBILITY: This promotion is open only to residents of the 50 United States or the District of Columbia, who are 18 years of age or older at time of entry. Employees of Procter & Gamble, the NFL Entities (as defined below), their affiliates, subsidiaries, advertising, promotion and internet agencies, media partners and their immediate family members and/or those living in the same household of each are not eligible to enter. Void where prohibited by law. All federal, state and local laws and regulations apply.

3. RANDOM DRAWING: A random drawing will be conducted on or about 2/14/08 from among all eligible entries received per Rule #1. Random drawing will be conducted by D.L. Blair, Inc., an independent judging organization whose decisions are final on all matters relating to this offer. Odds of winning will depend upon the number of eligible entries received. Winners will be notified by mail/express delivery carrier.

4. PRIZES & APPROXIMATE RETAIL VALUES: 230 prizes with a total approximate retail value ("ARV") of $170,500 will be awarded as follows:

(1) Grand Prize: The Grand Prize winner will receive a check for $15,000, plus a "Season Pass" to watch one of his/her three favorite NFL teams play throughout the 2008 season (including post-season). Grand Prize winner will designate his/her three favorite NFL teams at the time of prize notification. Sponsor will then determine which one of the three NFL teams the Grand Prize winner will follow throughout the season. The "Season Pass" consists of the following:

NFL Draft: a trip for winner and one guest to attend the 2008 NFL Draft in April 2008 including admission to the Draft event, round-trip first-class air transportation from major airport nearest winner's home, round-trip ground transfers to/from airport/hotel, up to two-nights hotel accommodations (1 room), plus $250 spending money (awarded to winner).

Training Camp: a trip for winner and one guest to attend the designated NFL team one-day Training Camp including admission to the camp, round-trip first-class air transportation from major airport nearest winner's home, round-trip ground transfers to/from airport/hotel, up to two-nights hotel accommodations (1 room), plus $250 spending money (awarded to winner).

Preseason: a trip for winner and one guest to attend up to two Preseason home games to see the designated NFL team play. The following will be provided for each game: tickets to the game, round-trip first-class air transportation from major airport nearest winner's home, round-trip ground transfers to/from airport/hotel, up to two-nights hotel accommodations (1 room), plus $250 spending money (awarded to winner).

Regular-Season: a trip for winner and one guest to attend 16 regular-season games (eight home games and eight away games) to see the designated NFL team play. The following will be provided for each game: tickets to the game, round-trip first-class air transportation from major airport nearest winner's home, round-trip ground transfers to/from airport/hotel, up to two-nights hotel accommodations (1 room), plus $250 spending money (awarded to winner).

Playoffs: a trip for winner and one guest to attend up to three NFL Playoff games to see the designated NFL team play during the 2008 post-season. The following will be provided for each game: tickets to the game, round-trip first-class air transportation from major airport nearest winner's home, round-trip ground transfers to/from airport/hotel, up to two-nights hotel accommodations (1 room), plus $250 spending money (awarded to winner). If the Grand Prize winner's designated team does not make the playoffs and/or is eliminated in the playoffs, Sponsor will determine which playoff game(s) the winner will attend.

Super Bowl XLIII: a trip for winner and three guests to attend Super Bowl XLIII in Tampa, FL, on Sunday, 2/1/09 including tickets to the game, round-trip first-class air transportation from major airport nearest winner's home, round-trip ground transfers to/from airport/hotel, up to two-nights hotel accommodations (2 rooms; double occupancy), plus $500 spending money (awarded to winner).

2009 NFL Pro Bowl: a trip for winner and three guests to attend the 2009 NFL Pro Bowl including tickets to the game, round-trip first-class air transportation from major airport nearest winner's home, round-trip ground transfers to/from airport/hotel, up to two-nights hotel accommodations (2 rooms; double occupancy), plus $500 spending money (awarded to winner).

The approximate retail value (ARV) of the Grand Prize is $145,600. The actual retail value of the Grand Prize depends on winner's point of departure/return, destination locations and the number of hotel accommodations awarded.

(5) First Prizes: a trip for winner and one guest to attend one regular-season home game to watch one of his/her favorite NFL teams play during the 2008 season. Prize includes tickets to the game, round-trip coach air transportation from major airport nearest winner's home, rental car and up to two-nights hotel accommodations (1 room), plus $500 spending money (awarded to winner). Each First Prize winner will designate his/her three favorite NFL teams at the time of prize notification. Sponsor will then determine which NFL team each First Prize winner will see play and which regular season home game each First Prize winner will attend. The approximate retail value (ARV) of each First Prize is $3,900. The actual retail value of each First Prize depends on each winner's point of departure/return, destination location and the number of hotel accommodations awarded.

(24) Second Prizes: An Officially Licensed NFL personalized replica jersey of winner's choice. Prize awarded as a $100 NFLShop.com gift certificate. Gift certificate is valid for online orders only and is non-transferable, non-refundable and not redeemable for cash. Subject to gift certificate terms and conditions.

(100) Third Prizes: An Officially Licensed Prilosec OTC Football T-shirt (one size fits all) (ARV: $15 each).

(100) Fourth Prizes: An Officially Licensed Prilosec OTC Football Cap (one size fits all) (ARV: $15 each).

Grand and First Prize winners will receive tickets to attend only the games designated by Sponsor. In the event a game is cancelled or postponed, Sponsor reserves the right to select an alternate game for that winner to attend. In order for the Grand and First Prize winners' guests to receive round-trip air transportation and/or any specified ground transportation, guests must travel on the same itinerary as the winner. If a Grand or First Prize winner lives within a 150-mile radius of a game he/she is attending, that winner will receive limo transportation to/from the game/winner's home in lieu of air transportation. Additionally, if a Grand or First Prize winner lives within a 50-mile radius of a game he/she is attending, hotel accommodations will not be awarded. Prizes consist of only those items specifically listed as part of the prizes. Limit one prize per household.

5. GENERAL RULES: Potential Grand and First Prize winners (or parent/legal guardian if winner is deemed a minor in his/her state of residence) must sign and return an Affidavit of Eligibility, Release of Liability, and where legally permissible, a Publicity Release within 10 days of attempted notification. Noncompliance within this time period or return of any prize/prize notification as undeliverable will result in disqualification and an alternate will be selected. If Grand or First Prize winner is a minor, winner's parent/legal guardian must accompany winner on trip and will count as the Guest. Guests must also sign and return a Release of Liability prior to travel/attending a game. If a minor is selected as a guest of the Grand or First Prize winner, winner must be the minor's parent/legal guardian and will be required to execute a release form on the minor's behalf prior to travel/prior to attending the game. All travelers must possess required travel documents (e.g., valid photo ID) prior to departure. All travelers must agree to depart and return on dates specified by the Sponsor; dates of departure and return are subject to change. If First-Class air travel is not available, business or coach class air travel will be booked. No substitution or transfer of prize by winner permitted. Sponsor reserves the right to substitute prize of equal or greater value at its sole discretion. All federal, state and local taxes are the sole responsibility of winners. By accepting prize, winners (or parent/legal guardian if winner is a minor) agree to hold Sponsor, the NFL Entities (as defined below), its respective directors, officers, employees, assigns, and agencies harmless against any and all claims and liability arising out of use of prize.
